1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of bearfish.com, app.bearfish.com, and the related Bearfish software, websites, and services (collectively, the “Service”). By creating an account, joining an organization, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and authority
You must be at least 18 years old and able to enter a binding agreement to use the Service. If you use the Service for a company or other organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.
3. Accounts and organizations
You must provide accurate account information, keep it current, protect your login credentials, authentication codes, and customer-facing document links, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account and for ensuring that organization members have appropriate access.
Organization owners and administrators can manage members, settings, billing, integrations, and organization content. Their actions may affect every member’s access to the organization and its data.
4. The Service
Bearfish provides tools for contractors to manage catalogs, customers, quotes, approvals, payments, jobs, change orders, files, and related workflows. We may add, change, or discontinue features and may perform maintenance that temporarily affects availability. We will use reasonable efforts to provide notice when a material change significantly affects your use of the Service.
Bearfish does not provide legal, accounting, tax, engineering, construction, or other professional advice. Templates, calculations, suggested content, and workflow tools must be reviewed for your business and project before use.
5. Trials, subscriptions, and billing
Some features require a paid subscription. Current plans, billing intervals, and included features are described on the Pricing page and in the checkout flow. Prices and plan features may change prospectively. Applicable taxes may be added to the amount shown.
Paid subscriptions renew automatically for the selected billing interval until canceled. Organization owners and administrators can manage payment methods, invoices, plan changes, renewal, and cancellation through the secure Stripe billing portal linked from Bearfish. The billing flow will show when a plan change or cancellation takes effect. If you believe a charge is incorrect, contact support@bearfish.com promptly. Any refund is subject to the terms presented at purchase and applicable law.
Trial access is limited to the period and features displayed when you begin the trial. When a trial or paid access ends, some organization features may become unavailable or read-only.
6. Stripe and payment services
Stripe processes Bearfish subscription payments. Bearfish also enables eligible organizations to connect a Stripe account and accept payments from their own customers. Your use of Stripe is governed by the agreements that apply between you and Stripe, including the Stripe Connected Account Agreement when applicable. By connecting or using a Stripe account through Bearfish, you agree to comply with those Stripe agreements.
You—not Bearfish—are the seller or service provider in transactions between your organization and its customers. You are responsible for your offerings, quotes, pricing, taxes, customer agreements, fulfillment, refunds, disputes, chargebacks, and compliance with applicable law. Bearfish is not a party to those customer agreements and cannot make business decisions for you or your customer.
7. Acceptable use
You may not use the Service to:
- Break the law, violate another person’s rights, or facilitate fraud or abuse.
- Upload malware or content designed to disrupt, damage, or gain unauthorized access.
- Probe, scan, or test vulnerabilities except with our prior written authorization.
- Bypass access controls, usage limits, or security measures.
- Interfere with the Service or another user’s use of it.
- Misrepresent your identity, affiliation, products, services, or transactions.
- Use the Service to send unlawful, deceptive, or unsolicited communications.
- Copy, resell, or provide the Service to third parties except as expressly allowed.
8. Your content and customer data
You retain ownership of content you submit to the Service. You grant Bearfish a limited, non-exclusive right to host, copy, process, transmit, display, and otherwise use that content only as needed to provide, secure, support, and improve the Service and to comply with law.
You are responsible for your content’s accuracy and legality and for obtaining the rights, permissions, and notices needed to submit and use it. This includes personal information about your customers, prospects, vendors, personnel, and quote or job recipients. You must not submit information that the Service is not designed to protect, including full payment-card numbers or authentication secrets belonging to another person.
9. Bearfish property and feedback
Bearfish and its licensors retain all rights in the Service, including its software, design, branding, documentation, and other materials, excluding your content. These Terms give you a limited, revocable, non-transferable right to use the Service for your internal business operations while your account is authorized and in good standing.
If you provide feedback or suggestions, you allow us to use them without restriction or compensation, but you are not required to provide feedback.
10. Third-party services
The Service may link to or integrate with third-party products such as Stripe, supplier systems, domain providers, and messaging services. Third-party terms and privacy policies govern those products. Bearfish is not responsible for third-party services, and their availability or behavior may affect integrations in the Service.
11. Suspension and termination
You may stop using the Service at any time and may manage subscription cancellation through the billing portal. We may limit, suspend, or terminate access if you violate these Terms, create a security or legal risk, fail to pay applicable fees, or use the Service in a way that could harm Bearfish, our providers, or other users. When practical, we will provide notice and an opportunity to resolve the issue.
Provisions that by their nature should continue after termination will survive, including provisions about ownership, payment obligations, disclaimers, liability, and disputes.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Bearfish disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Service will always be uninterrupted, error-free, or meet every business or regulatory requirement. Nothing in these Terms limits a warranty or right that cannot lawfully be limited.
13. Limitation of liability
To the fullest extent permitted by law, Bearfish will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunities, or data, arising from or related to the Service. These limitations do not apply where liability cannot lawfully be excluded or limited.
14. Changes to these Terms
We may update these Terms as the Service or legal requirements change. We will post the updated Terms here and revise the effective date. When appropriate, we may also provide notice through the Service or by email. Continued use after updated Terms take effect means you accept them.
